Effective Date: January 1, 2026 • Version 4.2. Please read these terms carefully. This Master Services Agreement constitutes a binding legal contract between Legion Hiresoft India Private Limited and your organization.
Ascent is a software platform provider acting exclusively as a technical Data Processor. By accessing this platform, your recruitment agency or enterprise acts as the independent Data Controller / Data Fiduciary and assumes full statutory legal responsibility for all candidate sourcing, candidate outreach, consent compliance, hiring choices, placement representations, and contractual arrangements.
By accessing, browsing, registering an account, or subscribing to Ascent (the "Platform" or "Service"), you ("Customer", "Subscriber", "Agency", or "You") agree to be unconditionally bound by these Terms of Service. If you are entering into this Agreement on behalf of a corporate entity, staffing agency, or staffing firm, you affirmatively declare that you possess the full legal authority to bind that entity.
Subject to timely fee payment and strict compliance with this Agreement, Legion Hiresoft India Private Limited ("Company", "We", "Us") grants you a non-exclusive, non-transferable, non-sublicensable, revocable limited license to access and utilize Ascent solely for your internal recruitment operations.
2.1 Full Customer Ownership: As between Customer and Company, Customer retains sole, absolute, and unencumbered ownership of all intellectual property rights in and to all candidate resumes, recruiter interview notes, candidate PII, placement rate cards, and financial records uploaded to Customer's workspace ("Customer Data").
2.2 Zero Data Monetization Guarantee: Company covenantally agrees that it shall never sell, rent, commercialize, scrape, pool, benchmark without consent, or disclose Customer Data to any third party, job board, competitor, or training partner without Customer's explicit written authorization.
Customer expressly acknowledges and agrees that:
The Platform provides algorithmic resume parsing, match-scoring (Match-Score), client summaries, and candidate suitability insights generated through automated machine learning models. THESE TOOLS CONSTITUTE DECISION-SUPPORT RECOMMENDATIONS ONLY.
The Company expressly disclaims any warranty that AI outputs are error-free, exhaustive, or suitable for making binding employment determinations. All final hiring, rejection, interview scheduling, and contracting decisions must be reviewed and executed independently by human personnel. Company bears zero liability for any hiring outcome, candidate loss, or discriminatory claim arising from Customer's reliance on automated scores.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
5.1 Consequential Damages Exclusion: IN NO EVENT SHALL Legion Hiresoft India Private Limited, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, DEVELOPERS, OR LICENSORS BE LIABLE TO CUSTOMER OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, EXEMPLARY, OR MULTIPLIED DAMAGES WHATSOEVER, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUES, LOSS OF RECRUITMENT COMMISSIONS, LOSS OF CLIENT CONTRACTS, CANDIDATE DEFECTS, LOST PROFITS, REPUTATIONAL DAMAGE, WORK STOPPAGE, SYSTEM DOWNTIME, DATA LOSS, OR CORRUPTION, REGARDLESS OF THE LEGAL THEORY (WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTORY LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
5.2 Maximum Aggregate Monetary Cap: THE TOTAL AGGREGATE LIABILITY OF THE COMPANY ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE PLATFORM, OR THE SERVICES, UNDER ALL CLAIMS COMBINED, SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY CUSTOMER TO COMPANY FOR ACCESS TO THE SERVICE DURING THE ONE (1) MONTH IMMEDIATELY PRECEDING THE OCCURRENCE OF THE EVENT GIVING RISE TO LIABILITY, OR INR 10,000 (TEN THOUSAND INDIAN RUPEES), WHICHEVER IS LESS.
Customer agrees to defend, indemnify, and hold harmless Legion Hiresoft India Private Limited, its corporate parent, subsidiaries, affiliates, directors, officers, employees, successors, and agents from and against any and all claims, demands, liabilities, damages, losses, costs, regulatory fines, penalties, settlements, and expenses (including reasonable attorneys' fees and legal defense costs) arising out of or related to:
THE SERVICE, INCLUDING ALL SOFTWARE MODULES, AI ENGINES, RESUME PARSERS, AND CLOUD INFRASTRUCTURE, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. COMPANY SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
COMPANY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, OR FREE OF VIRUSES OR HARMFUL CODE.
8.1 Indian Law: This Agreement shall be construed, interpreted, and governed exclusively by the substantive laws of the Republic of India, without giving effect to any conflict of law principles.
8.2 Mandatory Arbitration: Any dispute, controversy, claim, or difference arising out of or in connection with this Agreement shall be referred to and finally resolved by binding arbitration administered by a sole arbitrator appointed mutually by the parties, in accordance with the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be New Delhi, India, and the language of proceedings shall be English.
8.3 Class Action Waiver: Customer agrees that all claims shall be brought exclusively in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.
